Legal / Terms of Service

EdgeCMS Cloud Terms of Service

Draft — not in force. This document is a working draft awaiting review by a qualified lawyer. It does not apply to anyone yet, and placeholders in [brackets] are unfilled.

DRAFT — not legal advice, not in force. For review by a qualified lawyer before publication.

Effective date: [EFFECTIVE DATE]

These Terms are an agreement between you and [COMPANY] ([REG NO], [ADDRESS]) ("we", "us") for the use of EdgeCMS Cloud, the hosted EdgeCMS service at [DOMAIN] (the "Service"). If you use the Service for an organization, you accept these Terms for that organization and confirm you are allowed to do so; "you" then means the organization.

1. The Service

EdgeCMS Cloud runs the open-source EdgeCMS framework for you on Cloudflare's network. It lets you create workspaces ("tenants"), model and edit content, publish it through public APIs, store media and, if you turn them on, use AI features.

The EdgeCMS framework is available separately under the MIT licence at github.com/skyvis-my/edgecms. These Terms cover only the hosted Service, not your use of the open-source code.

2. Accounts

  • You must give accurate information, keep your sign-in details secure, and turn on multi-factor authentication where we offer it.
  • You are responsible for everything done under your account and your workspaces, including by people you invite.
  • You must be at least 16 years old, or the age of digital consent where you live if higher.
  • Tell us at [SECURITY EMAIL] straight away if you suspect your account has been compromised.

3. Plans

  • We offer a free plan and paid plans. Each plan has limits (for example workspaces, seats, entries, storage, public reads and AI usage) shown on our pricing page.
  • If you reach a hard limit, new activity in that area is blocked until you upgrade or reduce usage. Existing published content stays online. On paid plans, going over a public-read limit triggers a warning, not an outage, within the billing period.
  • We may change plans and prices. Price increases for an existing subscription take effect at your next renewal after at least 30 days' notice.

4. Free plan

The free plan is provided as is, may change, and may be withdrawn with 30 days' notice. We may remove free workspaces that have been inactive for more than [INACTIVITY PERIOD] after giving notice by email.

5. Fees, billing and taxes

  • Paid plans are billed in advance, monthly or yearly, through Stripe. We never see or store your full card details.
  • Fees are exclusive of taxes unless stated. Stripe may collect applicable taxes on our behalf.
  • Except where the law requires otherwise or these Terms say so, fees are non-refundable. If you downgrade, the new plan starts at the next billing period.

6. Late payment and suspension

  1. If a payment fails, Stripe will retry it and we will email you. Your workspace stays active during the retries.
  2. If payment still has not succeeded when the retries end, we suspend the affected workspaces: the admin is locked, while published content continues to be served through the public API.
  3. Your data is kept for 1 month after suspension. Paying the outstanding amount within that month restores the workspace.
  4. After that month we delete the workspace and its data as described in section 13.

7. Your content

  • You keep all rights in the content, media and data you put into the Service ("Customer Content").
  • You give us a worldwide, non-exclusive licence to host, copy, process, transmit and display Customer Content only as needed to run, secure and support the Service for you.
  • You are responsible for Customer Content and confirm you have the rights needed to publish it.
  • Our handling of personal data inside Customer Content is governed by the Data Processing Addendum, which forms part of these Terms.

8. AI features

  • AI features are off until a workspace admin turns them on. When on, the content you send to them is processed by the AI providers listed in our Subprocessors page.
  • AI suggests changes as commands you review and approve. You are responsible for reviewing AI output before publishing it; it may be inaccurate.
  • We do not use Customer Content to train AI models, and we choose providers whose terms do not allow them to train on it.

9. Acceptable use

You must follow the Acceptable Use Policy. We may remove content or suspend access that breaks it, as described there.

10. Our responsibilities

  • We take reasonable technical and organizational measures to protect the Service and Customer Content, described in the Data Processing Addendum.
  • We aim for high availability but do not offer a service-level agreement unless one is agreed in writing. Planned maintenance and incidents are posted on our status page.
  • We may update the Service. We will not remove a core feature of a paid plan during your current billing period without giving you a pro-rated refund.

11. Intellectual property

We own the Service, our brand and the hosted configuration, except the open-source framework, which remains under its MIT licence. Feedback you give us may be used freely, without obligation to you.

12. Confidentiality

Each party keeps the other's non-public information confidential, uses it only for this agreement, and protects it with at least reasonable care. This does not cover information that is public, already known, independently developed or lawfully received from someone else, or that must be disclosed by law (with notice where allowed).

13. Term, termination and your data

  • You can cancel at any time in the billing portal. A paid plan stays active until the end of the paid period, then moves to the free plan or is suspended.
  • We may suspend or end your access if you seriously or repeatedly break these Terms, if required by law, or under section 6. Where reasonable we will warn you first.
  • You can export your content at any time while your workspace is active, and during the 1 month after cancellation, suspension or account closure. After that month we delete Customer Content from the live Service. Backups containing it expire within [BACKUP EXPIRY] days after that.
  • We keep billing records for [TAX RECORD PERIOD] and audit logs for at least 1 year where the law or our security obligations require it.

14. Disclaimers

Apart from the commitments in these Terms, the Service is provided "as is" and "as available". To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.

15. Limitation of liability

To the extent the law allows:

  • Neither party is liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data, even if warned of them.
  • Each party's total liability under these Terms is limited to the fees you paid us in the 12 months before the claim, or [FREE PLAN LIABILITY CAP] if you use only the free plan.
  • These limits do not apply to your payment obligations, a party's indemnity obligations, or liability that cannot be limited by law.

16. Indemnity

You will defend and compensate us for third-party claims arising from Customer Content or your breach of the Acceptable Use Policy. We will defend and compensate you for third-party claims that the Service, as provided by us, infringes their intellectual property rights, excluding the open-source framework and Customer Content.

17. Changes to these Terms

We may update these Terms. For material changes we will give at least 30 days' notice by email or in the Service. If you do not agree, you may cancel before the change takes effect.

18. Governing law

These Terms are governed by [GOVERNING LAW]. The courts of [COURTS] have exclusive jurisdiction, unless mandatory consumer-protection law gives you the right to bring proceedings elsewhere.

19. General

These Terms, with the documents they link to, are the whole agreement about the Service. If a provision is unenforceable, the rest remains in force. Neither party may transfer this agreement without the other's consent, except as part of a merger or sale of the business with notice. Neither party is liable for delays caused by events beyond its reasonable control.
